Terms Of Service

This Commission Agreement (“Agreement”) is entered into by and between the undersigned artist
(“Artist”) and the client (“Client”). By remitting payment or requesting services, the Client acknowledges that they have reviewed, understood, or requested clarification of these terms and hereby agree to be legally bound by them. Failure to read the Terms of Service does not exempt the Client from compliance.

1. Payment and Refund Policy

1.1. All commissions require full payment in advance. Work will not commence until payment has been
received in full and cleared.
1.2. All payments must be made exclusively through PayPal. No other payment platforms or methods are accepted. The Client is responsible for ensuring that the full amount is sent in EUR (€) without deductions from currency conversion or transfer fees.
1.3. All payments are final. No refunds will be issued under any circumstances once payment has been
submitted, regardless of project stage, dissatisfaction, delays, personal circumstances, or any other
reason.
1.4. Any modifications requested by the Client that alter the original scope may result in additional
charges.

2. Scope of Work and Approvals

2.1. The Artist will provide progress updates at designated milestones.
2.2. The Client is responsible for reviewing and approving each stage promptly.
2.3. Revisions beyond the approved stages are subject to additional fees.
2.4. The Artist is not obligated to perform work outside the agreed-upon scope unless compensated
accordingly.

3. Revisions

3.1. Minor adjustments may be provided at the Artist’s discretion.
3.2. Major revisions or complete redesigns will incur additional costs.
3.3. Revisions requested after final delivery constitute new work and will be billed as such.

4. Rights, Licensing, and Intellectual Property

4.1. The Artist retains all copyrights and intellectual property rights to the artwork, including but not
limited to models, textures, renders, and working files.
4.2. The Client is granted a non-exclusive, non-transferable license for personal use only, unless a
commercial license is purchased separately.
4.3. The Client is strictly prohibited from:
• reselling or redistributing the artwork,
• minting the work as NFTs,
• using the work in AI training datasets,
• claiming authorship,
• altering or modifying the work without written consent.
4.4. A full rights transfer may be negotiated separately at the Artist’s discretion.

5. Portfolio and Display Rights

5.1. The Artist may display the commissioned work in portfolios, promotional materials, or social media.
5.2. A confidentiality or privacy agreement may be arranged for an additional fee.

6. Delivery and File Responsibility

6.1. Any delivery dates provided by the Artist are estimates and shall not be interpreted as guarantees.
6.2. Rush delivery may be offered at additional cost.
6.3. The Artist will deliver the final files in the agreed-upon formats.
6.4. Once final files have been delivered, the Artist bears no responsibility for the storage, preservation,
or archiving of any files, including working files and final deliverables.
6.5. If the Client loses, deletes, corrupts, or misplaces the files, the Artist is not liable and is not
obligated to resend or recreate them.
6.6. Any re-delivery if possible may incur an archival or reconstruction fee.

7. Chargeback and Dispute Policy

7.1. By commissioning the Artist, the Client acknowledges that this Agreement constitutes proof of a
completed digital service.
7.2. Initiating a chargeback after receiving the final work constitutes breach of contract and fraud.
7.3. In the event of a chargeback, the Artist reserves the right to provide all relevant
documentation including proof of work, correspondence, and this Agreement to the payment
processor and, if necessary, pursue legal or civil remedies.
7.4. The Client will be liable for any associated losses, fees, and damages resulting from fraudulent
disputes.

8. Termination

8.1. The Artist reserves the right to terminate the commission at any time in cases of harassment,
abuse, or unreasonable conduct from the Client.
8.2. Termination by the Artist for misconduct does not entitle the Client to a refund.
8.3. If the Artist chooses to terminate for reasons unrelated to misconduct, the Artist may issue a partial
refund at their sole discretion.

9. Limitations of Liability

9.1. The Artist is not responsible for damages arising from improper usage, distribution, alteration, or
third-party misuse of the artwork.
9.2. The Artist is not liable for delays caused by unforeseen circumstances, technical issues, or force
majeure events.

10. Acceptance of Terms

By commissioning the Artist, submitting payment, or receiving any portion of the work, the Client
confirms that they have read or requested clarification of these terms and fully agree to the conditions
set forth in this Agreement.
